These Terms of Service ("Terms") govern your access to and use of the Soundbite.so website and services (the "Service") operated by Soundbite.so, LLC ("Soundbite," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms, together with our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 16 years of age to create an account and use this Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
The Service is not directed at children under the age of 13. You agree not to knowingly use the Soundbite widget to collect audio recordings or personal information from children under 13 without verifiable parental consent as required by the Children's Online Privacy Protection Act (COPPA). If we become aware that we have collected personal information from a child under 13 without appropriate consent, we will take steps to delete that information promptly.
When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@soundbite.so if you suspect unauthorized access.
You may invite team members to your account. You are responsible for the actions of any users you invite.
Soundbite provides an embeddable voice recording widget that allows website owners to collect audio messages from their visitors. The Service includes an inbox for managing recordings, transcription, notes, favorites, team collaboration, QR code generation, campaigns, and related features.
We may modify, update, or enhance the Service from time to time. If we make changes that materially reduce the core functionality of a paid plan, we will provide at least 30 days' notice via email before those changes take effect. You may cancel your subscription before the changes take effect if you do not agree with them. We reserve the right to suspend or discontinue the Service (or any part of it) for maintenance, security, or operational reasons with reasonable notice when practicable.
Soundbite offers a free plan and paid subscription plans. Details of current plans and pricing are available on our pricing page.
Free Plan
Subject to the limitations described on our pricing page (currently up to 10 messages stored, 30-second maximum duration per message).
Paid Plans
Paid subscriptions are billed on a recurring basis (monthly or annually) at the rate in effect at the time of purchase.
Payment
All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on file on a recurring basis.
Cancellation
You may cancel your paid plan at any time from your account's billing page. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period, after which your account will revert to the free plan.
Refunds
We offer a 30-day money-back guarantee from the date you first subscribe to a paid plan. To request a refund, email hello@soundbite.so within 30 days of your initial subscription. After 30 days, no refunds will be issued.
Plan Changes
If you switch plans, your subscription will be prorated. Any credit from your current plan will be applied to the new plan.
Your Content
You retain ownership of all audio recordings, text, and other materials you or your website visitors submit through the Service ("User Content"). By using the Service, you grant Soundbite a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transcode, transcribe, and display your User Content solely as necessary to provide the Service to you. This license terminates when your User Content is deleted from the Service.
Third-Party Submitters
When visitors to your website record audio through the Soundbite widget, those recordings are stored in your account. You are the data controller for any personal data collected through the widget. You are responsible for:
Data Subject Requests
If Soundbite receives a request directly from a website visitor (a "data subject") regarding their audio recording or personal data, we will direct the request to you as the account holder and data controller. We will provide reasonable assistance to help you fulfill such requests. If you need us to delete specific recordings on behalf of a data subject, contact us at hello@soundbite.so.

You agree not to use the Service to collect, store, or distribute content that:
When you use the Service to collect audio recordings from your website visitors, you act as the data controller and Soundbite acts as the data processor with respect to any personal data contained in those recordings.
Processing Scope
Soundbite processes User Content (including audio recordings and any associated submitter information) solely on your behalf and in accordance with your instructions as expressed through your use of the Service. We will not process User Content for any purpose other than providing the Service to you.

Data Security
Soundbite implements appropriate technical and organizational measures to protect User Content against unauthorized access, alteration, disclosure, or destruction. These measures include encryption in transit and at rest, access controls, and regular security reviews.
Data Breach Notification
In the event of a confirmed data breach affecting your User Content, we will notify you without undue delay (and in any event within 72 hours of becoming aware of the breach) with sufficient information for you to fulfill any notification obligations you may have under applicable law.
Data Deletion
Upon termination of your account, we will delete your User Content within 30 days unless retention is required by law. You may request deletion of specific recordings at any time through the Service or by contacting us.

The Service, including its design, code, logos, and documentation, is owned by Soundbite.so, LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use the Soundbite name, logo, or trademarks without our prior written consent.
Soundbite respects the intellectual property rights of others. If you believe that content hosted on the Service infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Counter-Notification
If you believe your content was removed in error, you may submit a counter-notification with your contact information, identification of the removed material, a statement under penalty of perjury that you have a good faith belief the material was removed by mistake, and consent to the jurisdiction of the federal court in your district. We will forward counter-notifications to the original complainant.
Repeat Infringers
We reserve the right to terminate the accounts of users who are determined to be repeat infringers.
The Service integrates with third-party services for payment processing (Stripe), audio transcription, and cloud storage. Your use of these services is subject to their respective terms and privacy policies. Soundbite is not responsible for the practices of any third-party services.

By Us
We may suspend or terminate your account at any time if you violate these Terms, or for any other reason at our sole discretion, with or without notice.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your account data, including audio recordings, within 30 days of termination unless retention is required by law. You are responsible for exporting any data you wish to retain before termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, OR RELIABILITY OF ANY TRANSCRIPTION OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDBITE.SO, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00 USD).
You agree to indemnify, defend, and hold harmless Soundbite.so, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable recording consent, wiretapping, or data protection law; or (e) any claim by a third party (including your website visitors) related to audio recordings collected through your use of the widget.
Informal Resolution
Before filing any formal proceeding, you agree to contact us at hello@soundbite.so and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Honolulu, Hawaii, or at a location mutually agreed upon. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Soundbite.
Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, the exclusive jurisdiction shall be the state and federal courts located in the First Circuit, Honolulu, Hawaii.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the party's reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service provider failures, pandemics, war, terrorism, or labor disputes. During any such event, the affected party's obligations shall be suspended for the duration of the event.
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. We will also post a notice on the Service indicating that the Terms have been updated. If you do not agree with the revised Terms, you may cancel your account before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those Terms.
The following sections shall survive any termination or expiration of these Terms: User Content (Section 5), Data Processing (Section 6), Intellectual Property (Section 8), Disclaimer of Warranties (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution and Arbitration (Section 15), Governing Law (Section 16), and this Survival clause.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Soundbite may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent, provided that the assignee agrees to be bound by these Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Soundbite regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.
